Position Summary

The Corporate Counsel will be anintegral part of a small, dedicated legal team servicing a broad range of the company's corporate matters and regularly interacting with senior management. The person in this seat will be tasked with supporting the Deputy General Counsel with general corporate matters, inlcuding hands-on responsibility for a variety of legal, compliance and governance matters.
Essential Responsibilities

  • Support the Deput General Counsel regarding compliance with securites laws and reporting/disclosure procedures, draft and consult on '33 and '34 Act filings (inlcudig current, quarterly and annual reports), proxy statements, Section 16 filings and compliance with NYSE listing standards;
  • Support the Corporate Secretary regarding corporate governance matters, including preparing resolutions, board and committee materials and the annual shareholdders meeting;
  • Support the Chief Compliance Officer regarding compliance matters, including preparing environmental, health, safety matters, trade compliance and data privacy and prepare related corporate policies and procedures, trainings and communications;
  • Advise on commercial law issues, including intellectual property and labor and employment matters and assist in developing, reviewing and revising employee policies and procedures;
  • Oversee the management of the corporate structure of ITT and its affiliates, subsidiaries and related organizations;
  • Draft and negotiate various commercial agreements, which may include master services agreements, development, marketing, supply, distribution and consulting agreements;
  • Assist in th execution of mergers and acquisitions;
  • Assit in the management of routine litigation matters; and
  • Oversee and direct the wrk of outside counsel, as required, to obtain legal advice, opinions, or other relevant support.
Position Requirements
  • JD with solid academic credentials;
  • Bar admission in at least one state (New York or Connecticut preferred);
  • 5+ years of broad corporate legal experience in a law firm and/or in-house; some in-house experience preferred;
  • Experience in securities and corporate governance work;
  • Compliance, litigation management and/or labor and employment experience a plus;
  • Ability to think and work independently, initiate and coordinate projects;
  • Versatility, maturity and ability to work well with others;
  • Desire to develop and expand skillset;
  • Confident and stratetic thinker; and
  • Must have strong interpersonal skills and oral and written communication abilities.

CCT is based in Valencia, CA.
